Terms of Service for Dscoop.com, community and events

Digital Solutions Cooperative (Dscoop) provides its service, subject to the following Terms of Service (TOS), which may be updated by Dscoop or its representatives from time to time. The most current version of the TOS can be reviewed at any time through the use of our website (dscoop.org). The TOS govern Dscoop member organizations, affiliate organizations and the vendors/clients that have been granted access to the Dscoop website. These organizations and clients are collectively referred to hereafter as “Client.”
Dscoop REPRESENTATIVES Dscoop has contracted with Gradual to act as its representative with respect to the Dscoop website, community.dscoop.com.
DESCRIPTION OF SERVICE
The dscoop.com website currently provides Clients and other users with access to robust resources, content and communication tools through its online interface (the “Service”). Unless explicitly stated otherwise, any new features that augment or enhance the current Service shall be subject to the TOS. Client is responsible for obtaining access to the Service and that access may involve third party fees (such as internet service provider or airtime charges). Client is responsible for those fees. In addition, Client must provide and is responsible for all equipment necessary to access the Service.
REGISTRATION OBLIGATIONS
In consideration of use of the Service, Client agrees to the best of their abilities to: (a) provide current and complete information about themselves, their organization and its users (such information being the “Registration Data”) and (b) maintain and update the Registration Data to keep it current and complete. In addition, Client understands that in order to keep them informed of Dscoop business items and events, that Dscoop will periodically send email communications to the Client notifying them of such items and events. Client agrees that receiving these emails is part of their use of the Service, and if they wish to not receive these emails they must terminate their account.
MEMBER ACCOUNT, PASSWORD AND SECURITY
Client and Client’s team members will create their username and password as part of the Service’s registration process. Client is responsible for maintaining the confidentiality of the password and account, and is fully responsible for all activities that occur under such password or account. Client agrees to (a) immediately notify Dscoop or its representatives of any unauthorized use of Client’s password or account or any other breach of security, and (b) ensure that Client exits from its account at the end of each session. Dscoop and its representatives will not be liable for any loss or damage arising from Client’s failure to comply with this Section 5.
MEMBER CONDUCT
Client understands that all information, data, text, software, sound, photographs, graphics, video, messages, and/or other materials (“Content”), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that the Client, and not Dscoop or its representatives, is entirely responsible for all Content that it uploads, posts, emails, transmits, or otherwise makes available via the Service. Dscoop and its representatives do not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. Client agrees to NOT use the Service to:
- upload, post, email, transmit, or otherwise make available any Content that is unlawful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially or ethnically objectionable;
- harm minors in any way;
- impersonate any person or entity, or falsely state or otherwise misrepresent its affiliation with a person or entity;
- forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
- upload, post, email, transmit, or otherwise make available any Content that Client does not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information; proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
- upload, post, email, transmit, or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights (“Rights”) of any party;
- upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” or “pyramid schemes;”
- upload, post, email, transmit, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
- disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges;
- interfere with or disrupt the Service, servers or networks connected to the Service;
- intentionally violate any applicable local, state, national, or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission; any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ; and any regulations having the force of law;
- “stalk” or otherwise harass another; or
- collect or store personal data about other users.
Client acknowledges that Dscoop and its representatives do not pre-screen Content uploaded by Clients, and that Dscoop and its representatives shall have the right (but not the obligation) in their sole discretion to reclassify within the Service any Content that is available via the Service. Without limiting the foregoing, Dscoop and its representatives shall have the right to remove any Content that violates the TOS. Client understands that the technical processing and transmission of the Service, including its Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
SPECIAL ADMONITIONS FOR INTERNATIONAL USE
Recognizing the global nature of the internet, Client agrees to comply with all applicable laws of the United States regarding online conduct and acceptable Content. Specifically, Client agrees to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which Client resides.
For Users with accounts located in Dscoop’s European Data Region, all processing of Personal Data is performed in accordance with privacy rights and regulations following the EU Directive 95/46/EC of the European Parliament and of the Council of 24 October 1995 (the Directive), and the implementations of the Directive in local legislation. From May 25th, 2018, the Directive and local legislation based on the Directive will be replaced by the Regulations (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data, known as the General Data Protection Regulation (GDPR), and Dscoop’s processing will take place in accordance with the GDPR.
INDEMNITY
Client agrees to indemnify and hold harmless Dscoop and its representatives, their subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, from any claim or demand, including reasonable attorneys’ fees, due to or arising out of Content Client submits, posts, transmits, or makes available through the Service, or breach of the TOS.
NO RESALE OF SERVICE
Client agrees not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.
DEALINGS WITH ADVERTISERS
Client’s correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between Client and such advertiser. Client agrees that Dscoop and its representatives shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
LINKS
The Dscoop website may provide, or third parties may provide, links to other websites or resources. Because Dscoop and its representatives have no control over such sites and resources, Client acknowledges and agrees that Dscoop and its representatives are not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. Client further acknowledges and agrees that Dscoop and its representatives shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any third party sites or resources, or any goods or services available on or through any such site or resource.
Dscoop’s PROPRIETARY RIGHTS Client acknowledges and agrees that the Service and any necessary software (“Software”) used in connection with the Service contain proprietary and confidential information that is protected by applicable intellectual property and other laws. Client further acknowledges and agrees that Content contained in sponsor advertisements or information presented to Client through the Service or advertisers may be protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws. Except as expressly authorized by Dscoop and its representatives, or advertisers, Client agrees not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Software, in whole or in part.
Dscoop grants Client a personal, non-transferable and non-exclusive right and license to use the object code of its Software on their computer, provided that Client does not (and does not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, or sell, assign, sublicense, grant a security interest in, or otherwise transfer any right in the Software. Client agrees not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. Client agrees not to access the Service by any means other than through the interface that is provided by Dscoop and its representatives for use in accessing the Service.
DISCLAIMER OF WARRANTIES CLIENT EXPRESSLY UNDERSTANDS AND AGREES THAT:
CLIENT’S USE OF THE SERVICE IS AT ITS SOLE RISK TO THE EXTENT PERMITTED BY LAW. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. Dscoop AND ITS REPRESENTATIVES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
ANY MATERIAL DOWNLOADED, VIEWED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT CLIENT’S OWN DISCRETION AND RISK AND THAT CLIENT WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO CLIENT’S COMPUTER SYSTEMS or NETWORKS, OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD, VIEWING OR USE OF ANY SUCH MATERIAL.
EXCLUSIONS AND LIMITATIONS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO CLIENT.
SPECIAL ADMONITION FOR SERVICES RELATING TO FINANCIAL MATTERS
If Client receives or requests any news, messages, alerts, or other information from the Service concerning companies, stock quotes, investments or securities, such information is provided for informational purposes only, and no Content included in the Service is intended for trading or investing purposes. Dscoop and its representatives and its licensors shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Service, and shall not be responsible or liable for any trading or investment decisions made based on such information.
NOTICE
Notices to Client may be made via email. The Service may also provide notices of changes to the TOS or other matters by displaying notices or links to general notices on the Service. Any notice that Client is required to or may desire to give to Dscoop and its representatives under or in conjunction with the TOS or any agreement between the parties shall be made via email to [email protected] and shall be deemed to have been duly delivered based on the date that the electronic email is received by Dscoop mail servers.
TRADEMARKS AND LOGOS
All trademarks, service marks, trade names, or other words or symbols (“Marks”) identifying Dscoop and its representatives will remain such Party’s exclusive property. Client agrees to not take any action that jeopardizes the other Party’s proprietary rights or acquire any rights in the Marks. Except as specifically stated otherwise in an addendum or amendment hereto, no license to use any Dscoop logo, or the logos of its representatives, is granted in this section.
COPYRIGHTS and COPYRIGHT AGENTS
Dscoop and its representatives respect the intellectual property of others, and requires Clients to do the same. If Client believes that its work has been copied in a way that constitutes copyright infringement, or its intellectual property rights have been otherwise violated, please provide Dscoop the following information:
- an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
- a description, link, and/or screen capture image of the copyrighted work or other intellectual property that Client claims has been infringed;
- a description of where the material that Client claims is infringing is located on the site;
- Client’s address, telephone number, and email address;
- a statement by Client that Client has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- a statement by Client, that the above information in Client’s notice is accurate and that Client is the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
Upon receipt of such information, Dscoop and its representatives, at its sole discretion, may perform an investigation and may take appropriate action if it desires.
GENERAL INFORMATION
The TOS and any Subscription Agreement between Client and Dscoop and its representatives constitute the entire agreement between Client and Dscoop and its representatives and govern your use of the Service, superseding any prior agreements between you and Dscoop and its representatives. The failure of Dscoop or its representatives to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
PRIVACY POLICY
Dscoop is very aware and respectful of our customers’ needs for security and privacy. To that end, the following document describes how we control your and your organization’s private information. In our privacy statement we will outline:
- What personally identifiable information Dscoop collects (if any).
- What personally identifiable information third parties collect (if any) through the website.
- Which organization collects the information.
- How Dscoop uses the information in compliance with legal and privacy regulations.
- With whom Dscoop may share user information.
- What choices/are available to users regarding collection, use and distribution of the information.
- What types of security procedures are in place to protect the loss, misuse or alteration of information under Socious control.
- How users can correct any inaccuracies in the information or raise a complaint.
Our Privacy Policy provides information in accordance with the General Data Protection Regulation (GDPR), and Dscoop’s processing will take place in accordance with the GDPR. Dscoop is the sole owner of the information collected on dscoop.com and our registration systems. Dscoop collects information from our users at several different points on our website.
Registration
In order to use this website, a user must first complete the registration form. During registration, a user is required to give contact information (such as name and email address). We use this information to contact the user about services on our site for which they have expressed interest. It is optional for the user to provide demographic and profile information, but it is encouraged so we can provide a more personalized experience on our site.
User and Organization Information
Other members of Dscoop may view information you provide about yourself and your organization. This information includes such items as email address and other information you provide. At any time, you may opt out of allowing other users to view this information. By removing the information from the system, other users will not be able to see it. Dscoop does not store this information after you remove it. In order to enable it again, you must re-enter the information.Organization pages include basic demographic information about type of institution, location, mailing address, contact phone number, and contact person(s). Organizations can opt out of some of these pieces of information (contact phone number, contact person) by not providing the information.
Vendors
Vendor partners are able to view user pages. Vendor partners are required to comply with all of the Dscoop TOS.
Discussions Community
During your use of this website, you may wish to participate in our Collaborate Community discussions by asking questions or responding to other users’ questions. Any information you provide within this area may be viewed by other members of the Dscoop community. It is encouraged that you never provide any sensitive or private information in this area. When this information is displayed for others to see, the Dscoop website will display your name, your message, your signature file, your organization’s name and logo as provided on the Dscoop.com website.
File Library
During your use of this website, you may wish to participate in our File Library by downloading or providing files for other users. Any information you provide within this area may be viewed by other members of Dscoop. It is encouraged that you never provide any sensitive or private information in this area.

During your use of this Web site, you may wish to provide news and information relating to our industry and/or your organization. Any information you provide within this area may be viewed by other members of Dscoop. It is encouraged that you never provide any sensitive or private information in this area. When these items are displayed for others to see, the Dscoop website will display your organization’s name and logo as provided on the Dscoop.com website.
INFORMATION USE
Profile
We store information that we collect through cookies, log files and users to create a profile of our users to provide a more personalized experience. A profile is stored information that we keep for individual users that details their viewing preferences. Consequently, collected information is tied to the user’s personally identifiable information to provide offers and improve the content of the site for the user. This profile is used to tailor a user’s visit to our website. Your profile will only be shared as part of an aggregated form with no personal or identifiable information.
Cookies
A cookie is a piece of data stored on the user’s computer tied to information about the user. Usage of a cookie is in no way linked to any personally identifiable information while on the Dscoop site. Dscoop only use session ID cookies. With session ID cookies, once users close the browser, the cookie simply terminates.
Log Files
Like most standard website servers, we use log files. This includes internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks. We use this information to analyze trends, administer the site, track users’ movements in the aggregate, and gather broad demographic information for aggregate use. IP addresses, etc. are not linked to personally identifiable information, and are never given to third parties. Aggregate information may be used by Dscoop in order to provide vendor partners with more detailed information on our clients’ usage, and for Dscoop to enhance our services.
COMMUNICATIONS FROM THE SITE
Vendor Mailings Vendors may request us to send occasional emails to our membership. You as a user have the right to opt out of receiving these emails by sending an email to [email protected]. A support representative will handle your request promptly.
Special Offers and Updates
We send all new members a welcome email to verify password and username. Established members will occasionally receive information from Dscoop and a newsletter. You as a user have the right to opt out of receiving these emails by sending an email to [email protected].
Service Announcements
On rare occasions, it is necessary to send a strictly service-related announcement to users. For instance, if our service is temporarily suspended for maintenance, we might communicate that to users via an email. Generally, users may not opt-out of these communications, though they can deactivate their account. Note that these communications are not promotional in nature.
Customer Service
We communicate with users on a regular basis to provide requested services and in regard to issues relating to their account. These communications and replies are typically via email or phone, in accordance with the users’ preferences.
SHARING
Legal Disclaimer Dscoop makes every effort to preserve user privacy. However, we may need to disclose personal information when required by law wherein we have a good-faith belief that such action is necessary to comply with a current judicial proceeding, a court order or legal process served on our website. Dscoop does share specific information with HP Inc. in order to verify continued equipment ownership, and to help in communications with our members. HP respects your privacy. Aggregate Information (non-personally identifiable)
We share aggregated demographic information with our partners. This is not linked to any personally identifiable information.
Third Party Intermediaries
We use an outside shipping company to ship orders. This company does not retain, share, store, or use personally identifiable information for any secondary purposes.

This website contains links to other sites. Please be aware that Dscoop is not responsible for the privacy practices of such other sites. We encourage users to be aware when they leave our site and to read the privacy statements of every website that collects personally identifiable information. Security
This website takes every precaution to protect our users’ information. When users submit sensitive information via the website, their information is protected both online and off-line.
Should you ever need to provide sensitive information (such as a credit card number), that information is encrypted and is protected with the best encryption software in the industry - SSL. While on a secure page, the lock icon of web browsers becomes locked, as opposed to un-locked, or open.
We use the best encryption software in the industry -- SSL encryption -- to protect sensitive information online. We also protect user information off-line. All of our users’ information, not just the sensitive information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, our billing or customer service representative) are granted access to personally identifiable information. Furthermore, ALL employees are kept up-to-date on our security and privacy practices. Every quarter, as well as any time new policies are added, our employees are notified and/or reminded about the importance we place on privacy, and what they can do to ensure our users’ information is protected. Finally, the servers that store personally identifiable information are in a secure environment.

Correcting/Updating/Deleting/Deactivating Personal Information If a user’s personally identifiable information changes (such as zip code, phone, email, postal address), or if a user no longer desires our Service, we provide a way to correct, update or delete/deactivate users’ personally identifiable information.
